Contract between Fan and Creator

This Contract between Fan and Creator (“this Agreement”) governs each interaction between a Fan and a Creator on InnerText. By initiating a Creator Interaction, both the Fan and the Creator agree to be bound by the terms of this Agreement.

This Agreement is legally binding and applies each time a Creator Interaction is initiated on InnerText. This Agreement applies to the exclusion of any other terms which the Fan or Creator may propose. The only parties to this Agreement are the Fan and the Creator participating in the Creator Interaction. InnerText is not a party to this Agreement or to any Creator Interaction except as expressly set forth below.

1. Definitions

In this Agreement, defined terms have the following meanings:

“Company”:
Vice City Mirchi LLC DBA InnerText
“Content”:
any material uploaded or shared by a Creator on InnerText, including photos, videos, audio recordings, text, voice call sessions, video call sessions, direct messages, and any other material whatsoever
“Creator”:
a User who has registered and been approved as a creator on InnerText and who publishes Content for Fans to access
“Creator Earnings”:
the portion of a Fan Payment payable to a Creator after deduction of the InnerText Fee, equal to 80% of the Fan Payment
“Creator Interaction”:
any interaction on InnerText that grants a Fan access to a Creator’s Content, including: (i) a Subscription; (ii) a PPV Message; (iii) a Voice Call; (iv) a Video Call; (v) a Tip; and (vi) any other direct message or payment between a Fan and a Creator’s account
“Creator Interaction License”:
the non-transferable, non-sublicensable, and non-exclusive right each Creator grants to a Fan in connection with a Creator Interaction, permitting the Fan to access the Relevant Content associated with that interaction
“Fan”:
a User who has registered for an InnerText account and who accesses a Creator’s Content via one or more Creator Interactions
“Fan Payment”:
any payment made by a Fan in connection with a Creator Interaction
“InnerText”:
the platform accessible at app.inner-text.com and via any related web browser or application, owned and operated by the Company
“InnerText Fee”:
the 20% platform fee retained by InnerText from each Fan Payment, as described in InnerText’s Terms of Use
“PPV Message”:
a pay-per-view message or media item published by a Creator for which a Fan must make a Fan Payment to unlock and access
“Relevant Content”:
the specific Content of a Creator to which a particular Creator Interaction relates
“Subscription”:
a Fan’s binding agreement to obtain recurring access to a Creator’s Content for a specific billing period in exchange for authorizing automatic renewal payments. Subscription tiers include 2-day, weekly, monthly, and 6-month periods. This excludes individually priced Content such as PPV Messages
“Tip”:
a voluntary, one-time Fan Payment made to a Creator with no corresponding Content or service obligation on the part of the Creator
“User”:
any registered user of InnerText, whether a Creator, a Fan, or both (also referred to as “you” or “your”)
“Video Call”:
a real-time, one-on-one video session conducted between a Fan and a Creator through InnerText’s platform, either scheduled in advance or initiated instantly
“Voice Call”:
a real-time, one-on-one audio session conducted between a Fan and a Creator through InnerText’s platform, either scheduled in advance or initiated instantly

2. Pricing and Payment

The Fan entering into a Creator Interaction agrees to pay the applicable Fan Payment plus any applicable sales tax, which the Company and its payment processing partners are authorized to collect. The Company is also authorized to deduct the InnerText Fee and to pay out Creator Earnings.

Payment processor fees charged by InnerText’s designated payment processor may be added on top of the Fan Payment at checkout. These fees are the Fan’s cost and do not reduce Creator Earnings. Transactions may appear on your card or bank statement as INNERTEXT.COM or another descriptor associated with InnerText or its payment processor. If you do not recognize a charge, contact support@inner-text.com before filing a dispute.

3. Subscriptions and Renewals

When you select “Subscribe,” you agree to start a Subscription. A Subscription will automatically renew at the end of each billing period at the then-current rate plus any applicable tax. You authorize the Company to charge your payment method again at the start of each new Subscription period unless: (i) your payment is declined and you have not provided a valid alternative payment method; (ii) the Subscription price has increased and you have not accepted the new price; (iii) you cancel your Subscription before the current billing period ends; or (iv) you close your InnerText account before the new Subscription period begins.

By selecting “Subscribe,” you acknowledge that your Subscription will continue to renew automatically and that you will not receive individual notice before each renewal charge.

You may cancel your Subscription at any time by logging into your account and managing your subscription settings. Cancellation takes effect at the end of the current paid billing period. You will retain access to the Creator’s Content through the end of the period you have already paid for.

4. License of Content

As part of each Creator Interaction, the Creator grants the Fan a Creator Interaction License. The Creator Interaction License permits the Fan to access the Relevant Content associated with that Creator Interaction for personal, non-commercial use only.

5. Ownership of Content

The Creator Interaction License does not grant any Fan ownership rights to any Relevant Content. All Content remains the exclusive property of the Creator who uploaded it. Fans may not copy, reproduce, download, distribute, publicly display, or otherwise exploit any Relevant Content outside of the personal access permitted by the Creator Interaction License.

6. Expiry of License

The Creator Interaction License expires automatically and without notice in any of the following circumstances:

  • if the Fan Payment related to the Creator Interaction was unsuccessful, charged back, or reversed;
  • if the Creator deletes the Relevant Content or their Creator account;
  • when an active Subscription period ends (unless renewed);
  • if the Fan’s account is suspended or terminated;
  • if the Fan breaches InnerText’s Terms of Use or this Agreement;
  • if the Relevant Content is removed from InnerText or the Creator’s account is suspended or terminated; or
  • if the Fan closes their InnerText account.

7. Removal of Content

InnerText reserves the right to remove any Content from a Creator’s account at any time without notice, including for violations of InnerText’s Content Standards or applicable law. Creators may also remove Content from their accounts at any time, including PPV Messages and media, at their sole discretion. By entering into a Creator Interaction, the Fan acknowledges that Content may be removed and that such removal does not entitle the Fan to a refund except as provided in InnerText’s Refund Policy.

8. Cancellation and Refunds

Refunds for Creator Interactions are governed by InnerText’s Refund Policy. The following summary applies to each Creator Interaction type:

  • Subscriptions: A full refund may be requested within 48 hours of the original charge. Subscription fees requested after this 48-hour window are non-refundable.
  • PPV Messages: All PPV Message purchases are final and non-refundable after the message has been delivered and unlocked.
  • Tips: All Tip transactions are voluntary and non-refundable.
  • Voice Calls and Video Calls: If a Creator fails to join a scheduled call, InnerText will automatically process a full refund. No refund request is required. Calls that are interrupted or cut short for any other reason are non-refundable.
  • Direct Messages: Payments made in connection with direct messages are non-refundable once the message has been delivered.

To request an eligible refund, contact support@inner-text.com. InnerText strongly encourages Fans to contact support before initiating a chargeback or dispute with their bank or payment provider. Initiating a chargeback without first contacting InnerText support may result in suspension or permanent termination of your account.

9. Obligations between Creator and Fan

In each Creator Interaction, the Fan and the Creator agree as follows:

  • The Fan and the Creator agree to comply at all times with InnerText’s Terms of Use and Content Standards.
  • The Creator is solely responsible for creating and publishing Relevant Content.
  • The Creator warrants that it holds all necessary rights to grant the Creator Interaction License, including rights to all Content and, where applicable, written consent and age verification records for every identifiable person depicted in that Content.
  • The Creator agrees to deliver the applicable Relevant Content once a Fan Payment has been received, in accordance with the Creator Interaction type (Subscription, PPV Message, Voice Call, Video Call, or other).
  • The Fan agrees to make the Fan Payment required to access paid Relevant Content.
  • The Fan agrees not to initiate a chargeback unless the Fan disputes the Creator Interaction in good faith after first attempting to resolve the matter with InnerText support.
  • The Fan assumes all risk of accessing Relevant Content, except to the extent that any loss is caused by the Creator’s own negligence or breach of this Agreement.
  • The Fan agrees not to download, copy, screenshot, record, redistribute, or otherwise reproduce any Relevant Content outside of the personal access granted by the Creator Interaction License.

10. No Guarantees

The Fan participating in a Creator Interaction acknowledges that circumstances beyond InnerText’s or the Creator’s control may prevent or delay access to Relevant Content, including technical interruptions, platform maintenance, carrier outages, or suspension or termination of any part of the InnerText platform. InnerText does not guarantee continuous or uninterrupted access to any Creator’s Content.

11. Governing Law and Disputes

This Agreement is governed by the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement that is not resolved informally will be subject to binding arbitration in Miami-Dade County, Florida, in accordance with the dispute resolution process set out in InnerText’s Terms of Use.

Nothing in this Agreement limits any mandatory consumer protection rights a Fan may have under the laws of their jurisdiction.

12. Severability

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, unenforceable, or prohibited by law, the remaining provisions of this Agreement shall remain in full force and effect. The remainder of this Agreement shall be valid and binding as though such invalid, unenforceable, or prohibited provision were not included.
